At a glance. AlmOps is a service by Almware Ltd., Nicosia, Cyprus, for business customers. Website examples and estimates are informational. Paid work starts only after we accept an order. We may decline, suspend or end services under these terms. If we end a service, we refund prepayment for future service periods we will not provide; fees for past months already paid for and provided are not refunded merely because the relationship ends.
Fees, scope, notice, handover and any agreed exceptions belong in your accepted order or service agreement. Mandatory legal rights always apply.
1. Parties and application
These Terms of Service ("Terms") are issued by Almware Ltd. ("Almware", "we", "us" or "our") for the AlmOps website at almops.com and our related business services. "You" means the visitor or customer, including the organisation on whose behalf an authorised person acts.
The website-use provisions apply to your use of the website. The paid-service provisions apply when an accepted proposal, order form or service agreement expressly incorporates these Terms and you accept them before ordering. Merely browsing does not create a paid contract.
An expressly agreed service term takes precedence over a conflicting provision here for that service. A data processing agreement governs processing on your behalf, and an agreed service level agreement governs service levels. Neither website copy nor these Terms overrides mandatory law.
Our services are intended for trade, business and professional purposes. You must have legal capacity and authority to bind the customer. Where you qualify as a consumer under applicable law, mandatory consumer protections remain available regardless of any business-use description.
2. Orders, discovery and delivery scope
A submitted request, Solution Builder analysis, call, proposal or payment attempt does not oblige us to accept or continue a project. We may decline new work, free discovery, a renewal or an additional request at our discretion. A paid order becomes binding only when we confirm acceptance in writing or sign the relevant agreement. If we receive money for an order we do not accept, we return that payment.
The accepted order defines scope, billing periods, delivery capacity, dependencies, acceptance criteria and any specific commitments. A subscription covers the agreed delivery effort, reserved capacity, hosting or support during that period. Unless expressly agreed, it is not a fixed-price promise to finish an unlimited backlog or achieve a particular business result.
Website prices, starter scopes, estimated subscription amounts and proposed delivery dates are indicative until confirmed in an accepted order. Changes, integrations, migrations, additional revisions and third-party costs may require a separate estimate. We need not carry out work outside the agreed scope.
Free discovery carries no obligation to offer paid delivery. Where stated in your offer, it includes one revision round; further revisions before subscription are chargeable at the agreed rate. Development begins after the required approvals and payment.
You must provide accurate information, lawful materials, access, timely decisions and a responsible contact. Client delays can change delivery dates. Capacity genuinely reserved and available to you remains chargeable during your delay where the accepted order provides for it. Unused capacity does not roll over unless agreed.
We select delivery methods, personnel and tools, and may use qualified contractors subject to our contractual confidentiality and data protection obligations. Dates are estimates unless expressly guaranteed. Service response targets are not promises of resolution time.
3. Fees, billing and payment disputes
Fees are payable in advance unless your order states otherwise. Taxes, payment schedules, renewal, minimum terms and additional vendor charges must be disclosed in the accepted order. Automatic renewal applies only where agreed before purchase.
Recurring fees may cover several elements, including development effort, capacity, hosting and support. We may allocate charges among those elements as specified in the order. A later cancellation does not reclassify earlier service fees as a deposit for final delivery.
We may withhold commencement, further work or a contractually conditional handover until payment is received. Overdue sums may attract statutory interest and reasonable recovery costs where permitted. You remain responsible for undisputed invoices while a genuine billing dispute is reviewed.
Contact us promptly with any billing concern. This does not remove lawful payment-dispute rights. We may challenge an unfounded chargeback and seek recovery of amounts lawfully owed. Price changes affect future orders or renewals on the notice agreed in your contract; they do not retrospectively change paid periods.
4. Our right to suspend or terminate services
We may decide at any time to discontinue all or part of a service, decline further work or terminate a business service relationship for convenience, including for commercial, capacity, technical or operational reasons. We do so by written notice, effective on the date stated in it, subject to any notice period in your accepted agreement and any notice required by law. Where neither specifies a period, we give reasonable notice for an ongoing paid service where practicable.
We may suspend or terminate immediately, to the extent lawful, when:
- an undisputed payment is overdue, or there is a substantiated payment-fraud risk;
- you materially breach the agreement, misuse services or repeatedly prevent delivery by withholding necessary cooperation;
- your instructions, content or conduct are unlawful, infringe third-party rights or expose people or systems to a material security risk;
- continued performance would breach legal obligations, sanctions, vendor restrictions or applicable professional requirements;
- abusive conduct, threats or another serious circumstance makes continued performance unsafe or unreasonable.
Where a breach is remediable and immediate action is unnecessary, we may give an opportunity to remedy it. Security or legal circumstances may require us to restrict access before notice. We will explain the action where lawful and practicable.
Suspension does not guarantee a reserved restart date. Continued capacity charges during a suspension apply only where that capacity remains reserved and available under the agreed order. Resuming or changing the service may require a revised scope and schedule.
You may cancel or decline renewal using the notice and minimum-term provisions in your accepted order, without prejudice to statutory rights. A minimum term or early-exit charge must be expressly agreed; none is created solely by browsing this website.
5. Financial settlement and refunds
Termination by either party does not automatically require repayment of all fees paid since the start of the relationship. Each charge is assessed against what it paid for. Subject to mandatory law and any contrary written commitment, the following remain payable and are not refundable merely because the service ends:
- work actually performed, including discovery, analysis, design, development, testing, project management and work in progress;
- elapsed subscription periods and delivery capacity actually reserved and made available under the accepted order, even if you did not use it;
- hosting, support and other services already supplied;
- reasonable third-party costs you authorised that we have incurred or irrevocably committed and cannot recover.
For example, if three service months have been provided and we end the relationship during month four, ending the relationship does not itself unwind payment for the first three months. Settlement addresses the current period, work in progress, authorised committed costs and any unused future prepayment.
We do not charge the same work or period twice. For a prepaid fixed deliverable, any allocation to unfinished work must follow the agreed pricing or a reasonable, evidenced valuation within the agreed fee. Costs cannot be invented or retrospectively labelled non-refundable.
If we discontinue or terminate a service, we refund the full prepayment attributable to future service periods we will not provide. Fees for past months that have already been paid for and provided remain non-refundable solely on account of that termination. We do not deduct past-period charges or a termination penalty from the future-period refund; any separate, lawfully outstanding invoice is handled separately.
For a current subscription month that ends part-way through, we refund the unused portion of recurring service fees on a pro-rata basis from the effective end date. Separately priced work actually performed and authorised, non-recoverable vendor costs remain subject to their agreed pricing, without double charging. Ending services does not entitle us to charge for capacity or hosting after the effective end date.
When we terminate for convenience, we do not accelerate future subscription fees or impose a customer early-exit penalty. We provide a settlement breakdown and normally make the future-period and unused-current-period refunds within 30 days, or sooner where law requires. A credit can replace a refund only if you agree.
If you cancel early, separately agreed, lawful minimum-term or early-exit charges may apply. Such charges must be proportionate and account for costs saved and recoveries; they are not an automatic forfeiture of every payment. If we terminate because of your breach, the future-period refund described above still applies; we may separately pursue amounts or damages lawfully owed.
These rules do not exclude remedies for our breach, statutory withdrawal or refund rights, or sums a court requires us to repay. Any voluntary goodwill refund is assessed individually and does not change the agreement for other transactions.
6. Customer data, intellectual property and handover
Your business data and materials remain yours. You warrant that you may lawfully supply them and authorise their use to deliver the service. Personal data is handled under our Privacy Policy and any applicable data processing agreement.
Almware retains rights in its website, brands, starters, reusable components, methods and delivery tools, subject to licences expressly granted. Open-source and third-party components remain subject to their own licences. Providing a demo, discovery document or prototype does not transfer production rights or grant exclusive ownership.
Our standard model provides application source code with non-exclusive rights for independent use. The handover date depends on the selected subscription plan, as shown on our Pricing page. The exact eligibility date, payment conditions, included materials and licence are set out in the accepted agreement. Termination does not by itself accelerate that date or transfer rights in unpaid or unfinished work. We honour handover rights already earned under the agreement.
Data export, retention after termination, credentials, documentation and any paid transition assistance follow the agreed exit arrangements and applicable law. We do not promise indefinite hosting or storage after a service ends, and we do not claim ownership of your data because you owe fees.
7. Accounts, project requests and acceptable use
Solution Builder and the customer portal let you submit business context, requirements, selected features and supporting files, and manage your project. Submitting a request or creating an account starts the relevant enquiry or account process; it does not itself confirm acceptance of a paid order. Estimates and proposed scope remain subject to review and agreement.
You authorise us to process the materials you submit for discovery, analysis and delivery of the requested services, including through approved AI-assisted tools under the applicable confidentiality and data processing terms. You must have the rights and permissions needed to provide those materials. AI-generated suggestions may contain errors and require review; they do not replace agreed acceptance criteria or release approval.
Keep account credentials secure, use authorised users and tell us promptly about suspected compromise. You are responsible for instructions and activity you authorise and for your systems, backups and access obligations as allocated in the service agreement.
You must not use our website or services for unlawful activity, rights infringement, harassment, malware, spam, unauthorised access, collecting other users' data or disruptive automated requests. Security testing requires prior written permission. Good-faith reports of a suspected vulnerability can be sent to support@almware.com.
External links and third-party services have their own terms and availability. An external provider's change, outage or restriction may require a change to scope or schedule; any agreed commitments we have made remain subject to the service agreement.
8. Warranties, risk allocation and liability
We perform contracted services with reasonable care and skill. Beyond express written commitments and mandatory obligations, we give no warranty of uninterrupted or error-free operation, fitness for an undisclosed purpose, regulatory certification, commercial success or the completion of an unlimited set of requirements. Free discovery and website resources are supplied as available. You must review and test outputs before relying on them for business operations.
To the extent permitted by law, Almware is not liable for indirect or consequential loss, lost profit, anticipated savings, revenue, opportunity or goodwill arising from website or service use. This exclusion does not remove an express contractual obligation.
Unless a specific agreement sets another cap, our aggregate liability for business-service claims connected with an affected order is limited to the fees you actually paid under that order in the three months immediately preceding the event giving rise to the claim. Related claims arising from the same cause count together. Liability for use of free discovery and website resources is excluded to the extent permitted by law.
These exclusions and caps do not apply to fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or liability that law does not allow us to exclude or limit. A refund due under section 5 is not reduced by the liability cap. Mandatory consumer and data protection rights are unaffected.
For business customers, you must reimburse reasonable losses and defence costs arising from third-party claims caused by your unlawful materials, infringement of their rights or misuse of the service. This does not cover loss caused by our own breach or misconduct. We will notify you and allow reasonable participation in the defence; no settlement may impose obligations on you without your consent.
9. Events beyond control and general terms
A party is not responsible for delay caused by events beyond its reasonable control, provided it takes reasonable mitigating steps and informs the other party where practicable. Such events do not erase accrued payment obligations or justify keeping unearned future prepayments. If continued delivery is impracticable, we may end the affected service and apply section 5.
We may update website terms by publishing a dated version. Changes apply prospectively; an existing paid order remains subject to its accepted version unless changed through the agreed process. We may transfer a business agreement as part of a merger or business sale subject to its terms and applicable law. Your transfer requires our written consent unless the agreement permits it.
If a provision cannot be enforced, the rest continues to apply to the extent lawful. Delay in exercising a right is not a waiver. Payment obligations accrued before termination, earned licences, confidentiality and provisions intended to survive remain in effect.
10. Governing law, notices and contact
These Terms are governed by Cyprus law. For business disputes, the competent courts of Nicosia, Cyprus have exclusive jurisdiction unless your agreement provides otherwise. Mandatory protections and jurisdiction rights applicable to consumers remain unaffected.
Service notices may be sent to the email address designated in the accepted order. Please keep that address current. Raise a concern in writing so we can seek a practical resolution.
